Key Terms
- Confidential Information Definition – Includes technical, commercial, and customer data whether disclosed orally or in writing.
- Permitted Use – Information may only be used for the stated purpose and must be handled on a need-to-know basis.
- Security Obligations – Receiving party must apply standards equivalent to their own protective measures and report breaches within 48 hours.
- Return or Destruction – All confidential materials must be returned or destroyed within 30 days of termination.
- Term – Two-year confidentiality period unless superseded by subsequent agreements.
